Listing Terms & Advertiser Agreement
7.1 Introduction
These Listing Terms and Advertiser Agreement ("Agreement") govern the commercial relationship between Burd & Co., a sole proprietorship ("we," "us," "our," or "Company"), and any individual or business ("Advertiser," "you," or "your") that purchases a listing on burdandco.com ("the Site"). This Agreement supplements and is incorporated into our Terms of Service. In the event of a conflict between this Agreement and the Terms of Service, this Agreement governs with respect to listing and payment matters.
By submitting a listing application and making payment, you agree to be bound by this Agreement in its entirety.
7.2 Eligibility
To be eligible for a listing on the Site, an Advertiser must meet all of the following criteria at the time of application and throughout the listing period:
- Geographic: The business or individual must be based in, or primarily serve, the Greater San Diego or Southern California region.
- Category: The services offered must fall within one of the categories published on the Site (Brand Design, Photography, Videography, Web Design, AI Solutions, Production, Studio Rentals, Equipment Rentals, Events, or Crew). Burd & Co. may add or modify categories at any time.
- Active business: The Advertiser must operate a legitimate, active business or freelance practice at the time of listing.
- Portfolio: The Advertiser must be able to provide evidence of professional-grade work consistent with the quality standards described in our Editorial & Curation Policy.
- Legal compliance: The Advertiser must not be in violation of any applicable federal, state, or local laws in connection with their business activities.
Burd & Co. reserves the right to determine eligibility at its sole discretion.
7.3 Listing Content and Standards
What Is Included
A standard listing includes: business name, a brief description of services, website URL, social media links, logo or brand mark, and category placement in the directory. Additional content or placement options may be offered at a different rate and will be specified at the time of purchase.
Content Accuracy
You are solely responsible for the accuracy, completeness, and legality of all content submitted for your listing. You warrant that your listing content does not infringe any third-party intellectual property rights, does not contain false or misleading statements, and does not violate any applicable law.
Content Updates
To request updates to your listing (e.g., new logo, revised description, updated URL), email connect@burdandco.com. We will make reasonable efforts to apply approved updates within 5 business days. Burd & Co. reserves the right to decline content updates that do not meet our editorial standards.
Intellectual Property Licence
By submitting content for your listing, you grant Burd & Co. a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute your submitted content (including your logo and business name) on the Site and in promotional materials related to the Site for the duration of your listing period.
7.4 Payment Terms
Annual Fee
The current rate for a standard listing is $333.00 USD per 12-month period. This rate may change at renewal; we will notify you of any price changes at least 30 days before your renewal date.
Accepted Payment Methods
Payment may be made via PayPal, Zelle, or Venmo. Payment instructions will be provided upon approval of your listing application. Your listing will not go live until payment is confirmed.
Refunds
Refunds are governed by our Refund Policy. A full refund is available within 30 days of payment. No refunds are issued after 30 days.
Renewal
Listings are offered on an annual basis. We will contact you via the email address on file at least 30 days before your listing expires to offer renewal. Renewal is not automatic; your listing will be removed at the end of the 12-month period if you do not renew. Renewal is subject to re-approval under the editorial standards in effect at the time of renewal.
7.5 Removal and Suspension
Burd & Co. may remove or suspend any listing at any time, without notice or refund (subject to the 30-day refund window in our Refund Policy), if the Advertiser:
- Violates any provision of this Agreement or the Terms of Service;
- Provides false, misleading, or fraudulent information;
- Ceases to meet the eligibility criteria described in Section 7.2;
- Engages in conduct that Burd & Co. determines, in its sole discretion, to be harmful to the reputation or integrity of the directory;
- Receives repeated or credible complaints from clients or the public; or
- Fails to renew payment at the end of the listing period.
You may also request voluntary removal of your listing at any time by emailing connect@burdandco.com. Voluntary removal does not entitle you to a refund except within the 30-day window described in our Refund Policy.
7.6 Representations and Warranties
By purchasing a listing, you represent and warrant that:
- You have the full legal authority to enter into this Agreement on behalf of yourself or your business;
- All information submitted in your listing application is true, accurate, and current;
- You own or have the right to use all content submitted for your listing, including logos, images, and descriptions;
- Your business activities comply with all applicable federal, California, and local laws; and
- You will promptly notify Burd & Co. if any information in your listing becomes inaccurate or outdated.
7.7 No Endorsement
A listing on the Site does not constitute an endorsement, recommendation, certification, or guarantee by Burd & Co. of the Advertiser's services, qualifications, character, or fitness for any particular purpose. Burd & Co. expressly disclaims any such representation.
7.8 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BURD & CO.'S TOTAL LIABILITY TO ANY ADVERTISER FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY THAT ADVERTISER FOR THE CURRENT LISTING PERIOD. IN NO EVENT SHALL BURD & CO. BE LIABLE FOR LOST PROFITS, LOST BUSINESS, OR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
7.9 Modifications
We may modify this Agreement at any time by posting an updated version on the Site. Changes take effect when posted. Your continued listing on the Site after modifications constitutes acceptance. We will make reasonable efforts to notify active Advertisers of material changes.
7.10 Governing Law
This Agreement is governed by the laws of the State of California. Any disputes must be resolved exclusively in the state or federal courts of San Diego County, California.
